Articles of Incorporation of SCS Combative League LLC 

Article I: Name and Formation 

The name of this organization shall be **SCS Combative League LLC** (hereinafter referred to as “SCSCL”). SCSCL is legally registered and filed as a **Limited Liability Company (LLC)** in the state of Oklahoma. 

Article II: Purpose and Objectives 

SCS Combative League LLC is established to: 

1. Organize and promote amateur and professional boxing events across Louisiana, Arkansas, Texas, and Oklahoma. 

2. Provide a structured and transparent financial model for participating USA Boxing clubs. 

3. Enhance professional boxing in the region with higher pay per round. 

4. Increase the number of amateur tournaments in bordering states to create more competitive opportunities. 

5. Implement the **'Keep It Clean'** initiative to assist clubs lacking insurance, safety equipment, or travel funds. 

6. Provide sponsorship opportunities to ensure fair financial distribution and increased participation. 

Article III: Membership and Club Participation 

1. Each participating state (Louisiana, Arkansas, Texas, and Oklahoma) is allowed up to **16 USA Boxing-registered clubs**. 

2. The **first four (4) registered clubs per state** will elect a **President and Treasurer (State Representative)** to represent them in league decisions. 

3. Each incorporating club must use the **SCSCL marketing plan and sponsorship strategy**. 

4. Additional fundraising beyond league sponsorship is at the discretion of each individual club. 

5. Funds from league-wide sponsorships must be used for their designated purposes to maintain transparency and accountability. 

Article IV: Sponsorship and Financial Structure 

SCSCL will operate on a structured financial model to support the growth of boxing clubs  

and promote fairness in revenue distribution. 

Sponsorship Tiers: 

• **Corporate Sponsors** ($2,000) – Covers **equipment donation funds** for participating clubs at each event. 

• **Small Business Sponsors** ($1,000) – Covers **hotel expenses** for USA Officials and USA Boxing clubs traveling **30+ miles** to events. 

• **SCSCL Supporters** ($500) – Covers **charter bus transportation** for fans traveling from bordering states to SCSCL events. 

• **ABYF Membership ($15/year or donation)** – Covers **administrative costs** and **sports activities** for low-income families and single parents. 

Article V: General Admission Ticket System (NFT-Based) 

1. SCSCL will issue **general admission tickets** through an NFT system on OpenSea under the **'Keep It Clean'** initiative. 

2. Each membership will receive **1 general admission tickets** in the form of an NFT. 

3. **Cost per ticket:** $$5.00. 

4. **Expiration:** 1 year after purchase. 

Article VI: Governance and Decision-Making 

1. Each state’s **first four registered USA Boxing clubs** will elect a **President and Treasurer (State Representative).** 

2. The **State Representative (Treasurer)** will oversee financial distributions for their respective state’s clubs. 

3. All major league decisions, financial allocations, and policy changes will be approved by state representatives and SCSCL leadership. 

Article VII: Legal Compliance and Filing 

1. **SCS Combative League LLC** will be officially registered in the state of Oklahoma and will comply with all state and federal business regulations. 

2. Financial reports will be maintained for transparency and accountability. 

3. Clubs that fail to comply with SCSCL’s financial policies may be subject to suspension or removal from the league.
